2. Acceptance of Terms

By accessing or using LeoSwift Limited’s website, products, or services, you agree to comply with these Terms and all applicable laws and regulations.

If you are using our services on behalf of a company, organization, or other legal entity, you represent that you have authority to accept these Terms on behalf of that entity.

Where a separate written agreement exists between LeoSwift Limited and a customer, the terms of that agreement will apply to the extent of any conflict with these general Terms.

3. Eligibility

You must have the legal capacity to enter into a binding agreement under the laws applicable to you.

If you use our services on behalf of an organization, you confirm that you are authorized to act on its behalf.

Certain products or services may have additional eligibility requirements, which will be communicated where applicable.

4. Account Registration

Some LeoSwift services require users to create an account or access a client area.

When creating or maintaining an account, you agree to:

  • Provide accurate and current information
  • Keep your account information updated
  • Maintain the confidentiality of your login credentials
  • Use reasonable measures to protect your account
  • Notify us promptly if you suspect unauthorized access
  • Accept responsibility for activities performed through your account where permitted by applicable law

You must not share credentials in a manner that compromises the security of our systems or services.

LeoSwift Limited may temporarily restrict access to an account where we reasonably believe that the account has been compromised, is being misused, or presents a security risk.

5. Services

LeoSwift Limited provides technology services and digital products based on the description, specifications, scope, or service plan presented at the time of purchase or agreed upon with the customer.

Service features, resource allocations, technical requirements, supported platforms, and other specifications may vary between products and plans.

We may improve, modify, replace, or discontinue features where reasonably necessary for security, technical, operational, legal, or business reasons.

Where a material change substantially affects a paid service, we will make reasonable efforts to provide appropriate notice where practicable.

6. Orders and Service Activation

Orders submitted through our website or client area may be subject to verification, payment confirmation, fraud screening, resource availability, or other reasonable checks.

Submitting an order does not necessarily guarantee acceptance.

LeoSwift Limited reserves the right to reject or cancel an order where reasonably necessary, including where:

  • Payment cannot be verified
  • Information provided appears inaccurate or fraudulent
  • The order violates these Terms
  • The requested service cannot lawfully be provided
  • The service is unavailable
  • The order presents a security or abuse risk

Where we cancel a paid order before service delivery for reasons not caused by the customer, any applicable refund will be handled in accordance with our refund policy and applicable law.

7. Payments and Billing

Customers agree to pay all applicable charges associated with products and services they purchase.

Prices may be displayed as:

  • One-time fees
  • Monthly subscriptions
  • Quarterly subscriptions
  • Annual subscriptions
  • Usage-based charges
  • Custom project fees

Applicable taxes, transaction fees, or other charges may be added where required.

Payments may be processed by third-party payment providers. By using a payment provider, you may also be subject to that provider’s terms and privacy policies.

LeoSwift Limited does not guarantee the availability of any particular payment method.

8. Recurring Services and Renewals

Certain services, including hosting, cloud infrastructure, software licensing, maintenance, subscriptions, and related services, may renew periodically.

Where automatic renewal is enabled, customers authorize applicable recurring charges according to the billing cycle disclosed when purchasing or renewing the service.

Customers are responsible for maintaining valid billing information and monitoring renewal dates.

Failure to renew or make payment by the applicable due date may result in suspension, expiration, or termination of the affected service.

9. Late and Unpaid Invoices

Services with overdue invoices may be suspended or terminated in accordance with the applicable service terms.

During suspension, websites, servers, applications, licenses, email services, APIs, or other resources associated with the service may become unavailable.

Customers remain responsible for applicable outstanding charges incurred before suspension or termination.

LeoSwift Limited is not responsible for losses resulting from a suspension caused by a customer’s failure to pay amounts properly due, except where otherwise required by law.

10. Refunds and Cancellations

Refund eligibility depends on the type of product or service purchased.

Certain products or services may be non-refundable once delivered, activated, provisioned, downloaded, licensed, customized, or substantially performed, except where applicable law requires otherwise.

These may include:

  • Custom software development
  • Completed development work
  • Domain registrations or renewals
  • Third-party licenses
  • Activated software licenses
  • Dedicated or specially provisioned infrastructure
  • Setup or installation services
  • Custom configurations
  • Digital products already delivered

Any specific refund guarantee displayed on a product or service page forms part of the terms applicable to that purchase.

Customers may request cancellation through the appropriate client area or support channel.

Cancellation of a recurring service does not automatically entitle the customer to a refund for a billing period that has already begun unless otherwise stated or required by law.

11. Hosting, Servers and Cloud Services

Customers using our hosting, VPS, dedicated server, cloud, infrastructure, or related services are responsible for the content and applications hosted within their allocated environments unless the service agreement states otherwise.

Customers must not use our infrastructure for unlawful, abusive, fraudulent, or harmful activities.

LeoSwift Limited may rely on third-party infrastructure, data centers, networks, cloud platforms, registries, software vendors, or other service providers to deliver some services.

The physical infrastructure used to provide a service may therefore be owned, operated, maintained, or supplied by third parties.

LeoSwift Limited remains responsible for its own contractual obligations to customers but cannot guarantee that third-party infrastructure will operate without interruption.

12. Acceptable Use

You may not use LeoSwift services to engage in activities that violate applicable law or materially threaten the security or integrity of our services or other users.

Prohibited activities include, but are not limited to:

  • Unauthorized access to computer systems or accounts
  • Distribution of malware or malicious code
  • Phishing or credential theft
  • Fraud or impersonation
  • Unlawful distribution of copyrighted material
  • Deliberate disruption of networks or services
  • Unauthorized vulnerability exploitation
  • Spam or abusive bulk communications
  • Hosting content prohibited by applicable law
  • Activities intended to circumvent security controls
  • Abuse of our infrastructure or network resources

We may investigate suspected violations and take proportionate action, including restricting or suspending affected services where reasonably necessary.

13. Software Products and Licenses

Software developed or distributed by LeoSwift Limited may be provided under a specific software license.

Unless otherwise expressly stated, purchasing software grants the customer a limited, non-exclusive, non-transferable right to use the software according to the applicable license terms.

Ownership of the underlying software, source code, trademarks, design elements, documentation, and other intellectual property remains with LeoSwift Limited or the applicable rights holder.

Specific products may permit installation on one or multiple domains, servers, websites, or environments depending on the license purchased.

Customers must comply with the licensing conditions displayed or provided with the applicable software product.

14. Software License Verification

Certain LeoSwift software products may use technical license-verification mechanisms.

These mechanisms may verify information reasonably necessary to confirm license validity, including:

  • License keys
  • Authorized domains
  • Installation identifiers
  • Server information
  • Product versions
  • License status
  • Activation information

License verification is intended to protect software integrity, manage legitimate installations, provide updates, and prevent unauthorized use.

Information collected through licensing systems will be handled in accordance with our Privacy Policy.

15. Restrictions on Software Use

Unless expressly permitted by the applicable license or by law, users may not:

  • Resell or redistribute licensed software without authorization
  • Share license keys with unauthorized parties
  • Circumvent or disable license-verification systems
  • Remove proprietary notices
  • Claim ownership of LeoSwift software
  • Use software beyond the permitted license scope
  • Use unauthorized copies of licensed products

Any rights not expressly granted remain reserved.

Nothing in these Terms restricts rights that cannot lawfully be excluded under applicable law.

16. Software Updates

LeoSwift Limited may provide software updates containing:

  • Bug fixes
  • Security improvements
  • Compatibility updates
  • Performance improvements
  • New functionality
  • Interface changes
  • Technical modifications

Availability of updates may depend on the product, license status, subscription, maintenance period, or service plan.

We may discontinue support for outdated versions when reasonably necessary for security, compatibility, or operational reasons.

Customers are encouraged to maintain backups before installing software updates.

17. Custom Software and Development Services

Website development, application development, custom software, integration, consulting, and similar projects may be governed by a separate proposal, quotation, statement of work, or development agreement.

Such documents may specify:

  • Project scope
  • Deliverables
  • Development milestones
  • Payment schedule
  • Revision limits
  • Customer responsibilities
  • Completion criteria
  • Maintenance arrangements
  • Intellectual property ownership
  • Third-party costs

Requests outside an agreed project scope may require additional fees or a revised quotation.

Project schedules may depend on the customer’s timely provision of required information, content, credentials, approvals, and feedback.

18. Customer Content

Customers retain ownership of content they provide to LeoSwift Limited unless otherwise agreed.

By submitting content necessary for us to provide a service, you grant LeoSwift Limited a limited right to process, store, transmit, reproduce, or otherwise use that content solely as reasonably necessary to provide, maintain, secure, or support the service.

You represent that you have the necessary rights and permissions to provide such content.

19. Intellectual Property

Unless otherwise stated, content and materials available through LeoSwift Limited, including software, website designs, graphics, logos, documentation, text, interfaces, code, trademarks, and branding, are owned by or licensed to LeoSwift Limited and are protected by applicable intellectual property laws.

No ownership rights are transferred merely by accessing our website or purchasing a service.

Customers may use materials only to the extent permitted by the applicable service agreement, software license, or these Terms.

20. Third-Party Software and Services

LeoSwift products and services may integrate with or depend upon third-party technologies, including:

  • Cloud infrastructure
  • Operating systems
  • Control panels
  • Payment gateways
  • Domain registries
  • APIs
  • Content management systems
  • Open-source software
  • Commercial software
  • Analytics platforms
  • Security services

Third-party products may be subject to separate licenses and terms.

LeoSwift Limited does not control all third-party services and is not responsible for changes, outages, discontinuation, restrictions, or other actions by third-party providers beyond our reasonable control.

Where reasonably possible, we may assist customers in addressing issues involving services supplied through us.

21. Domain Names

Where LeoSwift Limited provides domain registration, renewal, transfer, or management services, such services may also be governed by policies established by domain registries, registrars, ICANN, or applicable national authorities.

Customers are responsible for maintaining accurate domain registration information and renewing domains before expiration.

Successful registration or renewal depends on availability, payment, and the requirements of the applicable registry or registrar.

LeoSwift Limited cannot guarantee recovery of an expired domain name.

22. Backups

Customers are encouraged to maintain independent backups of important websites, databases, applications, email, configurations, and other data.

Where a service includes backups, those backups are provided according to the applicable service description and should not necessarily be treated as the customer’s sole backup solution.

Although we take reasonable measures to protect customer data, no storage or backup system can guarantee against every form of data loss.

23. Service Availability and Maintenance

LeoSwift Limited aims to provide reliable services but does not guarantee uninterrupted or error-free availability unless a specific Service Level Agreement states otherwise.

Services may occasionally be unavailable because of:

  • Scheduled maintenance
  • Emergency maintenance
  • Hardware failure
  • Software failure
  • Network disruption
  • Security incidents
  • Third-party provider outages
  • Internet routing problems
  • Events outside our reasonable control

Where practicable, we will attempt to minimize disruption and restore affected services within a reasonable period.

24. Security

Customers must use our services responsibly and take reasonable measures to protect their accounts, applications, and systems.

This may include:

  • Using strong passwords
  • Enabling available security features
  • Keeping software updated
  • Protecting API keys and credentials
  • Limiting administrative access
  • Maintaining appropriate backups

Customers should promptly report suspected security incidents affecting LeoSwift services.

25. Suspension and Termination

LeoSwift Limited may suspend or terminate a service where reasonably necessary because of:

  • Non-payment
  • Material violation of these Terms
  • Fraudulent activity
  • Serious security threats
  • Abuse of infrastructure
  • Legal or regulatory requirements
  • Unauthorized use of licensed software
  • Activities that materially threaten other customers or our systems

Where appropriate and reasonably possible, we may provide notice and an opportunity to resolve the issue before termination.

Immediate action may be taken where necessary to address serious security risks, unlawful conduct, fraud, or threats to infrastructure.

Customers may terminate services according to the applicable cancellation procedures.

26. Data Following Termination

Following service termination or expiration, customer data associated with the service may be deleted after the applicable retention or backup period.

Customers are responsible for retrieving or backing up necessary data before termination where technically possible.

We may retain information where required for legitimate business, accounting, security, dispute-resolution, or legal purposes in accordance with our Privacy Policy and applicable law.

27. Privacy and Data Protection

Our collection and processing of personal information are governed by our Privacy Policy.

By using our services, you acknowledge that personal information may be processed as described in that policy.

Where LeoSwift Limited processes personal information on behalf of a customer, additional data-processing terms may apply where required by applicable law or contractual arrangements.

28. Confidentiality

During the provision of certain services, either party may receive confidential or proprietary information belonging to the other.

Where information is reasonably understood to be confidential, both parties should take appropriate measures to protect it and use it only for the purpose for which it was provided, except where disclosure is:

  • Authorized by the owner
  • Required to provide the agreed service
  • Required by law or lawful authority
  • Already lawfully public
  • Independently obtained without confidentiality obligations

Specific projects may be subject to separate confidentiality or non-disclosure agreements.

29. Warranties and Disclaimers

LeoSwift Limited will provide its services with reasonable care and skill consistent with the nature of the applicable service.

However, except where expressly stated or required by law, we do not guarantee that:

  • Services will always be uninterrupted
  • Every software product will be completely error-free
  • Every third-party integration will remain available
  • Every security threat can be prevented
  • Search engine optimization will produce a particular ranking
  • Digital consulting will produce a specific commercial result
  • Third-party services will remain unchanged

Nothing in these Terms excludes warranties, rights, or remedies that cannot legally be excluded.

30. Limitation of Liability

To the maximum extent permitted by applicable law, LeoSwift Limited will not be liable for indirect, incidental, special, exemplary, or consequential losses arising from the use of our services where such liability may lawfully be limited.

This may include loss of profits, business opportunities, anticipated savings, or data where such loss was not directly caused by LeoSwift Limited or was outside our reasonable control.

Where liability can lawfully be limited, LeoSwift Limited’s aggregate liability relating to a particular paid service will generally not exceed the amount paid by the customer to LeoSwift Limited for the affected service during the period giving rise to the claim, unless a separate written agreement provides otherwise.

Nothing in these Terms limits or excludes liability where doing so would be prohibited by applicable law.

31. Indemnification

To the extent permitted by applicable law, you agree to be responsible for claims, losses, or reasonable costs arising directly from your unlawful use of our services, your material violation of these Terms, or content you provide that infringes the rights of another person.

This provision does not require you to indemnify LeoSwift Limited for losses caused by LeoSwift Limited’s own unlawful conduct or negligence where such limitation would not be permitted by law.

32. Force Majeure

LeoSwift Limited will not be responsible for delays or failures caused by circumstances beyond our reasonable control.

Such circumstances may include natural disasters, widespread internet failures, power or telecommunications disruptions, governmental actions, civil disturbances, labor disruptions, cyber incidents affecting third-party infrastructure, or other events that could not reasonably have been prevented.

We will make reasonable efforts to restore or continue affected services where practicable.

33. Communications

By creating an account or purchasing a service, you agree that LeoSwift Limited may send communications necessary to administer the service, including:

  • Account notifications
  • Security alerts
  • Invoice notifications
  • Renewal reminders
  • Service announcements
  • Maintenance notifications
  • Support communications
  • Important legal or policy updates

Marketing communications will be handled according to applicable consent and privacy requirements.

34. Changes to Services and Pricing

LeoSwift Limited may change service features, plans, or pricing from time to time.

Price changes generally apply to future purchases or renewal periods unless otherwise stated.

Where a material price change affects an existing recurring service, reasonable notice may be provided before the new price applies where practicable or legally required.

35. Changes to These Terms

LeoSwift Limited may update these Terms to reflect changes in our services, technology, business practices, security requirements, or applicable laws.

The updated Terms will be published on our website with an updated effective or revision date.

Where required by applicable law, we will provide additional notice of material changes.

Continued use of our services after updated Terms become effective constitutes acceptance to the extent permitted by applicable law.

36. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without prejudice to any mandatory consumer protection or other rights that may apply under the laws of a customer’s jurisdiction.

37. Dispute Resolution

If a dispute arises concerning our services, both parties are encouraged to first attempt to resolve the matter through good-faith communication.

Customers may contact LeoSwift Limited through our official support channels to raise a complaint or dispute.

If a dispute cannot be resolved informally, either party may pursue available remedies through a court or other legally recognized dispute-resolution process with appropriate jurisdiction.

Nothing in this section removes any statutory rights or remedies available under applicable law.

38. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

The affected provision will be interpreted or limited as necessary to make it enforceable while preserving its intended purpose as closely as possible.

39. No Waiver

Failure by LeoSwift Limited to enforce a provision of these Terms on one occasion does not constitute a permanent waiver of that provision or any other right.

40. Entire Agreement

These Terms, together with our Privacy Policy, applicable service descriptions, software licenses, quotations, statements of work, and any other agreements expressly incorporated into a customer’s purchase, constitute the agreement governing the applicable services.

Where a separately signed agreement expressly conflicts with these general Terms, the separately signed agreement will control with respect to that conflict.
